Master Services Agreement

Agreement; Acceptance; Order of Precedence

This Master Services Agreement (the “Agreement”) is entered into by and between Task Bees LLC, a Florida limited liability company (“Task Bees,” “TaskBees,” “we,” “us,” or “our”), and the customer or legal entity accepting this Agreement (“Customer,” “you,” or “your”). This Agreement governs Customer's access to and use of the TaskBees AI-powered customer support platform, related dashboards, application programming interfaces, integrations, onboarding services, support, documentation, and any other services identified in an online subscription flow, order form, statement of work, or plan page (collectively, the “Services”).

By creating an account, clicking to accept, selecting a subscription plan, completing onboarding, connecting an integration, entering an order form, or permitting any user to access the Services, Customer agrees to be bound by this Agreement. If an individual accepts for an entity, that individual represents that they have authority to bind that entity. If Customer does not agree, Customer must not use the Services.

If there is a conflict, the following order controls: (1) a signed order form or statement of work, (2) the Data Processing Addendum, (3) this Agreement, (4) product-specific supplemental terms, and (5) online documentation or policies. This Agreement applies to all subscription tiers unless an order form expressly states otherwise.

Definitions

End CustomerAn individual customer, consumer, shopper, recipient, or other person who contacts Customer or receives communications through Customer's connected channels.
IntegrationsConnections to third-party services such as Gmail, Outlook, Telegram, Shopify, ShipStation, Stripe, AWS, Anthropic/AWS Bedrock, and any other systems enabled by Customer.
Knowledge BaseDocuments, URLs, text, FAQs, policies, product information, order policies, shipping information, and other materials uploaded, entered, crawled, or indexed by or for Customer for retrieval-augmented generation.
PlanThe subscription tier, limits, features, included usage, AI model level, support level, and fees selected by Customer.
TaskBees TechnologyThe Services, software, workflows, models, prompts, interfaces, architecture, designs, algorithms, APIs, documentation, Usage Data, Aggregate Data, and related intellectual property, excluding Customer Data.
Usage DataTechnical, operational, security, telemetry, feature usage, performance, billing, quota, audit, log, and analytics data about use of the Services, excluding Customer Data except in aggregated or de-identified form.

Services and Subscription Plans

Subject to this Agreement and payment of all applicable fees, TaskBees grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the Services solely for Customer's internal customer support operations for Customer's own e-commerce business.

The Services may include an Inbox, Overview dashboard, AI Activity log, Knowledge Base, Integrations dashboard, Billing dashboard, Settings, Analytics, onboarding wizard, notification features, URL ingestion, approval workflows, and other current or future features. Features vary by Plan and may change as the product evolves.

Current subscription tiers are Trial, Drone, Queen, and Hive. TaskBees may change plan names, features, quotas, pricing, included AI models, storage, support, or usage limits by updating the plan page or order form. Plan changes will apply prospectively unless required for security, legal compliance, abuse prevention, or technical stability.

“Unlimited” usage is subject to reasonable technical limits, fair use, anti-abuse controls, message-size limits, rate limits, third-party provider limits, and restrictions necessary to protect the Services and other customers.

Onboarding, Account Administration, and Required Connections

Customer is responsible for completing onboarding, providing accurate registration and business information, designating administrators, configuring required integrations, uploading or entering Knowledge Base materials, reviewing settings, and maintaining an active payment method. TaskBees may redirect Customer to onboarding until required steps are complete.

Customer acknowledges that certain features require Customer to connect an email account, and optional features may require Shopify, ShipStation, or other integrations. If an integration is not connected, revoked, rate-limited, suspended, misconfigured, or unavailable, affected features may not operate correctly.

Customer is responsible for all activity under its Account, including acts and omissions of Agents. Customer must maintain reasonable administrative controls, remove inactive users, use strong authentication, protect credentials, and promptly notify TaskBees of suspected unauthorized access.

Customer Responsibilities and Restrictions

Customer is solely responsible for its customer support program, End Customer relationships, product and order decisions, refunds, shipping commitments, warranty decisions, business policies, and communications sent through connected channels. TaskBees provides workflow automation and AI drafting tools; it does not make final customer service decisions for Customer.

Customer will not, and will not permit any Agent or third party to:

  • use the Services for unlawful, deceptive, fraudulent, abusive, harassing, defamatory, infringing, discriminatory, obscene, or harmful purposes;
  • use the Services to send spam, unsolicited commercial messages, illegal telemarketing, phishing, malware, credential-harvesting messages, or messages that violate CAN-SPAM, TCPA, CASL, platform rules, or other communications laws;
  • upload, crawl, or index materials that Customer lacks rights to use or that violate intellectual property, privacy, publicity, confidentiality, scraping, contract, or platform terms;
  • submit protected health information, payment card data, social security numbers, government IDs, children's data, or highly sensitive regulated data unless expressly permitted in writing and supported by appropriate safeguards;
  • attempt to access another tenant's data, bypass plan limits, probe or test vulnerabilities without authorization, interfere with the Services, reverse engineer the Services, or build a competing product using the Services;
  • use AI Drafts as the sole basis for legal, financial, medical, safety-critical, employment, credit, housing, insurance, eligibility, or similarly high-impact decisions;
  • represent that AI Drafts are guaranteed accurate, complete, human-authored, legally compliant, or approved by TaskBees; or
  • remove proprietary notices, misuse TaskBees marks, or resell, lease, sublicense, or service-bureau the Services except as expressly allowed in an order form.

AI Features, Human Review, and Output Disclaimer

TaskBees uses AI systems and retrieval-augmented generation to classify inquiries, search Customer's Knowledge Base and connected data sources, create draft responses, assign confidence scores, and route tickets for human review. Customer acknowledges that AI systems are probabilistic and may generate incorrect, incomplete, outdated, duplicative, biased, unsafe, or non-compliant content.

Unless Customer has separately purchased and enabled an expressly identified auto-send workflow, AI Drafts must be reviewed and approved by Customer or its Agents before being sent to End Customers. Customer is solely responsible for reviewing, editing, approving, rejecting, and using AI Drafts and for ensuring all final responses are accurate, lawful, non-deceptive, and consistent with Customer's policies.

TaskBees may display confidence scores or risk indicators. These scores are informational only and are not guarantees. Customer should treat low-confidence topics, missing Knowledge Base coverage, product-safety issues, legal demands, refund disputes, payment disputes, chargebacks, threats, discrimination complaints, subpoenas, data rights requests, security issues, and other sensitive matters as requiring manual review or escalation.

TaskBees does not warrant that AI Drafts will satisfy Customer's business objectives, prevent escalation, avoid chargebacks, comply with all laws, or be accepted by any End Customer, platform, payment provider, marketplace, carrier, or regulator.

Customer may use AI Drafts for its lawful business purposes subject to this Agreement. As between the parties, Customer owns final customer communications created from Customer Data, while TaskBees retains ownership of TaskBees Technology. AI Drafts may not be unique and similar outputs may be generated for other customers.

Knowledge Base, URL Ingestion, and RAG

Customer is responsible for ensuring Knowledge Base materials are accurate, current, complete, lawful, and within Customer's rights to upload, crawl, copy, process, store, and use. Customer grants TaskBees the rights necessary to host, parse, crawl, extract, index, embed, search, summarize, and use Knowledge Base materials to provide and improve the Services.

For URL ingestion, Customer represents that it has the right to provide the URL and authorize crawling or extraction. TaskBees may impose robots.txt, domain verification, rate-limit, file-size, content-type, anti-malware, and abuse controls. TaskBees may refuse to crawl, index, or retain content that appears unlawful, unsafe, infringing, technically risky, inaccessible, or prohibited by third-party terms.

Customer must remove or update Knowledge Base content when it becomes inaccurate, outdated, unlawful, or no longer authorized. TaskBees may surface knowledge gaps or improvement suggestions, but Customer remains responsible for deciding what content to add and for verifying the resulting AI Drafts.

Integrations and Third-Party Services

The Services rely on third-party services, APIs, platforms, and infrastructure, including email providers, messaging platforms, e-commerce platforms, shipping platforms, cloud providers, AI providers, payment processors, and authentication providers. Customer's use of those third-party services is governed by their own terms and policies. TaskBees is not responsible for third-party acts, omissions, outages, data restrictions, API changes, rate limits, account suspensions, pricing changes, or security incidents outside TaskBees's reasonable control.

By enabling an integration, Customer authorizes TaskBees to access, retrieve, process, store, and transmit data from that integration as necessary to provide the Services. Customer represents that it has all rights, notices, consents, and authorizations required to connect the account and process End Customer data through TaskBees.

Credentials, OAuth tokens, refresh tokens, API keys, webhooks, and similar secrets are Customer Data or confidential information and will be stored and used only as needed to provide the Services, support integrations, secure the platform, prevent abuse, comply with law, and enforce this Agreement. Customer may disconnect integrations, but disconnection may disable features and does not automatically delete previously processed records required for legal, security, billing, backup, audit, or dispute purposes.

Data Processing, Privacy, and Security

Customer is the controller or business, and TaskBees is the processor or service provider, for personal information processed on behalf of Customer through support tickets, connected inboxes, Telegram messages, Shopify records, ShipStation records, Knowledge Base materials, AI Drafts, and related Customer Data, except where TaskBees processes personal information for its own business purposes as described in the TaskBees Privacy Policy.

Customer will provide all required notices and obtain all required consents for TaskBees to process Customer Data, including End Customer personal information, connected account data, email content, order data, shipping data, and message data. Customer is responsible for responding to End Customer privacy requests unless the parties agree otherwise in a DPA.

TaskBees will maintain a written information security program with administrative, technical, and organizational safeguards designed to protect Customer Data. Safeguards may include tenant isolation, access controls, encryption in transit and at rest, secrets management, audit logging, rate limiting, secure development practices, incident response, backups, vulnerability management, and least-privilege access. No security system is perfect, and TaskBees does not guarantee that unauthorized access can never occur.

TaskBees may use subprocessors to provide the Services. TaskBees will remain responsible for subprocessors to the extent required by applicable data protection laws and the DPA. Customer authorizes TaskBees to process Customer Data in the United States and other countries where TaskBees or its subprocessors operate, subject to applicable transfer safeguards.

TaskBees will not use Customer Data to train third-party foundation models unless Customer expressly opts in or applicable third-party terms change and Customer is provided required notice or consent. TaskBees may use Usage Data, Aggregate Data, de-identified data, telemetry, and feedback to operate, secure, improve, and develop the Services, provided such data does not identify Customer or End Customers where required by law.

Confidentiality

Each party may receive non-public business, technical, financial, product, security, customer, or other information from the other party that is marked confidential or should reasonably be understood to be confidential. The receiving party will use confidential information only to perform this Agreement, protect it using reasonable care, and disclose it only to personnel, advisors, contractors, and subprocessors who need to know and are bound by confidentiality obligations. Confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed, or lawfully received from a third party.

A party may disclose confidential information when required by law, subpoena, court order, regulator, or similar process, provided it gives reasonable notice unless prohibited and cooperates in seeking confidential treatment.

Fees, Billing, Trials, Taxes, and Plan Enforcement

Customer will pay all fees, taxes, overage charges, and other amounts stated in the applicable Plan, checkout flow, order form, or invoice. Fees are non-cancelable and non-refundable except as expressly stated in this Agreement or required by law.

Customer authorizes TaskBees and its payment processor, currently Stripe or another designated provider, to charge Customer's payment method for recurring subscription fees, usage-based fees, overages, taxes, and other amounts due. TaskBees does not store full payment card numbers. Customer must maintain accurate billing information and an authorized payment method.

Trial subscriptions may require card capture. Unless Customer cancels before the trial ends, TaskBees may automatically convert the trial to a paid subscription and charge the payment method on file. Trial terms, pricing, renewal terms, cancellation process, and post-trial charges are disclosed in the checkout or order flow.

TaskBees may enforce Plan limits at onboarding, ingestion, webhook entry, processing, ticket creation, AI drafting, storage, sending, and API layers. At approximately 80% usage, TaskBees may provide a warning. At 100% usage, TaskBees may block new processing, send a holding reply where configured, queue or reject events, require an upgrade, or suspend certain features until the next billing period or upgrade.

Customer is responsible for all taxes except taxes on TaskBees's net income. If Customer is legally required to withhold amounts, Customer will gross up payments so TaskBees receives the full invoiced amount, unless prohibited by law.

Renewals, Cancellation, Downgrades, Suspension, and Termination

Subscriptions renew automatically for successive monthly or annual terms unless cancelled through the Services, Stripe customer portal, or other method stated in the checkout or order form before the renewal date. Cancellation takes effect at the end of the then-current term unless TaskBees states otherwise or law requires otherwise.

Customer may upgrade at any time. Downgrades take effect at the next renewal unless TaskBees permits earlier changes. Downgrades may cause loss of features, capacity, model access, storage, analytics, or data exceeding the downgraded Plan limits. Customer is responsible for exporting or deleting excess data before downgrade.

TaskBees may suspend or limit the Services immediately if Customer fails to pay, creates security risk, violates this Agreement, exceeds limits, abuses integrations, threatens the Services, violates law, infringes rights, or if suspension is required by a third-party provider, court, regulator, or platform. TaskBees will attempt to provide notice where practical and lawful.

Either party may terminate for material breach if the breach is not cured within 30 days after written notice. TaskBees may terminate immediately for non-payment, unlawful use, abuse, security threats, fraudulent activity, or violations that cannot reasonably be cured.

Upon termination, Customer's access ends and Customer must stop using the Services. TaskBees will make exportable Customer Data available for 30 days after termination where technically feasible, unless the account was terminated for security, abuse, legal, or non-payment reasons or retention is prohibited. After that period, TaskBees may delete or de-identify Customer Data according to its retention practices, backup cycles, legal obligations, and DPA.

Intellectual Property; Feedback; Publicity

TaskBees and its licensors own all TaskBees Technology. Customer owns Customer Data. Customer grants TaskBees a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, modify, create derivative technical artifacts from, and otherwise use Customer Data as necessary to provide, secure, support, maintain, improve, and enforce the Services and this Agreement, subject to the DPA and Privacy Policy.

Customer grants TaskBees a perpetual, irrevocable, worldwide, sublicensable, royalty-free license to use feedback, suggestions, enhancement requests, and recommendations without restriction or compensation. TaskBees may use Customer's name and logo to identify Customer as a customer unless Customer opts out by written notice.

Warranties and Disclaimers

Each party represents that it has authority to enter into this Agreement. TaskBees will provide the Services in a professional and workmanlike manner consistent with generally accepted SaaS industry practices. Customer's exclusive remedy for breach of this limited warranty is re-performance of the affected Services or, if TaskBees cannot reasonably re-perform, a refund of prepaid unused fees for the affected Services.

Except for the express warranties in this Agreement, the Services, AI Drafts, confidence scores, analytics, integrations, webhooks, dashboards, and documentation are provided “as is” and “as available.” TaskBees disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, uninterrupted operation, security, and error-free performance. TaskBees does not warrant that AI Drafts or analytics will be accurate, complete, current, lawful, non-infringing, or suitable for Customer's particular use case.

Indemnification

TaskBees will defend Customer against third-party claims alleging that the Services, as provided by TaskBees and used as authorized, infringe a U.S. patent, copyright, trademark, or trade secret, and will pay finally awarded damages or approved settlements. TaskBees has no obligation for claims arising from Customer Data, Customer configurations, unauthorized use, modifications not made by TaskBees, combinations with non-TaskBees products, third-party services, or continued use after TaskBees provides a non-infringing alternative.

Customer will defend and indemnify TaskBees and its affiliates, officers, directors, employees, contractors, subprocessors, and licensors against claims, damages, losses, fines, penalties, costs, and expenses arising from Customer Data, Knowledge Base content, End Customer communications, Customer's products or services, Customer's privacy or consumer protection obligations, Customer's integrations, Customer's breach of this Agreement, unlawful or unauthorized use, or allegations that Customer lacked rights or consents to process data through the Services.

The indemnified party must provide prompt notice, reasonable cooperation, and control of the defense to the indemnifying party, except that the indemnifying party may not settle a claim requiring admission of fault, payment by the indemnified party, or non-monetary obligations without consent.

Limitation of Liability

To the maximum extent permitted by law, TaskBees's total liability arising out of or relating to this Agreement or the Services will not exceed the amounts paid by Customer to TaskBees for the affected Services in the 12 months before the event giving rise to liability. For free trials or unpaid services, TaskBees's total liability will not exceed $100.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost goodwill; lost data; business interruption; cost of replacement services; or loss arising from End Customer claims, even if advised of the possibility.

The liability cap does not apply to Customer's payment obligations, Customer's indemnification obligations, either party's gross negligence or willful misconduct, or liabilities that cannot be limited by law. For TaskBees's unauthorized disclosure of Customer Data caused by TaskBees's breach of this Agreement, TaskBees's aggregate liability will not exceed two times the general cap, unless prohibited by law or otherwise stated in an order form.

Beta Features and Product Changes

TaskBees may offer beta, preview, experimental, trial, or early-access features. Beta features are provided “as is,” may be modified or discontinued at any time, may be subject to additional limits, and should not be used for mission-critical workflows unless Customer accepts the risk. TaskBees may modify, suspend, discontinue, or deprecate features, provided that material reductions to paid core functionality during a committed term will be handled commercially reasonably.

Compliance; Export; Sanctions; Platform Rules

Customer will comply with all laws applicable to Customer's use of the Services, including privacy, consumer protection, advertising, email, telecommunications, e-commerce, refunds, shipping, product safety, accessibility, anti-bribery, export control, and sanctions laws. Customer may not use the Services in embargoed countries or for prohibited end uses.

Customer will comply with the terms, policies, and developer requirements of connected platforms, including email providers, Telegram, Shopify, ShipStation, Stripe, AWS, and AI model providers. Customer is responsible for maintaining any platform notices, consent screens, sender authentication, domain verification, and app permissions required for its accounts.

Audit Logs and Records

TaskBees may maintain audit logs of account actions, approvals, AI processing, webhooks, integration events, usage, security events, billing enforcement, and administrative changes. Audit logs may be used to provide the Services, investigate errors, prevent abuse, support compliance, resolve disputes, and enforce this Agreement. Customer should not rely on TaskBees as its sole system of record for regulatory or litigation holds unless expressly agreed in writing.

Notices

TaskBees may provide notices by email, dashboard notification, in-product banner, account message, website posting, or mail. Legal notices to TaskBees must be sent to hello@taskbees.ai or by mail to Task Bees LLC, 7901 4th St N Ste 300, St. Petersburg, FL 33702. Customer notices will be sent to the account owner or billing contact in the Services. Customer must keep contact information current.

Governing Law; Disputes

This Agreement is governed by the laws of the State of Florida, excluding conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Pinellas County, Florida, unless an order form specifies arbitration or another venue. Before filing a claim, the parties will attempt in good faith to resolve the dispute through business escalation for at least 30 days, except for urgent injunctive relief, non-payment, misuse, security incidents, or IP infringement.

Miscellaneous

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet or utility failures, third-party platform outages, cloud provider outages, government actions, epidemics, or denial-of-service attacks. Neither party may assign this Agreement without consent, except to an affiliate or in connection with merger, acquisition, reorganization, or sale of substantially all assets. This Agreement is the entire agreement and supersedes prior agreements on its subject matter. Invalid provisions will be modified to the minimum extent necessary. Failure to enforce a provision is not a waiver. The parties are independent contractors.

Exhibit B — Acceptable Use Policy

Customer may not use the Services to send or facilitate illegal, deceptive, harmful, abusive, or high-risk content, including phishing, malware, credential theft, harassment, hate, regulated goods where prohibited, fake order updates, impersonation, unlawful refunds/chargebacks advice, or content that violates platform rules. TaskBees may block, throttle, quarantine, or suspend activity that appears risky.

TaskBees implements and maintains commercially reasonable security controls appropriate to the nature of the Services, including: tenant-level authorization checks; DynamoDB partition-key enforcement; S3 bucket policies and object prefixes by tenant; encryption at rest and in transit; AWS Secrets Manager for credentials; CloudWatch and audit logs; secure OAuth flows; signed webhook validation; rate limiting; input validation; least-privilege IAM; secrets rotation; CI/CD security checks; dependency scanning; and incident response procedures.
